1. Who we are
DealDeed is a trading name of Eastbridge Strategic Partners L.L.C-FZ, a company registered in the Meydan Free Zone, Dubai, United Arab Emirates ("DealDeed", "we", "us"). We operate the website dealdeed.ae and the private deal-matching service described on it (the "Platform").
DealDeed acts solely as an introducer. We are not a licensed real estate brokerage under UAE law, we do not hold property mandates, and we do not represent buyers or sellers in any transaction. All transactions introduced through the Platform are conducted by RERA-licensed agents representing each party.
2. Acceptance of these terms
By registering on the Platform — whether as an agent or as an investor — you accept these terms in full. These are the standing terms referenced in each match we propose; no separate contract is required per match unless we agree otherwise in writing.
3. Registration
Registration is free for both agents and investors. You agree to provide accurate, current and complete information, and to keep it updated. We may verify the information you provide — including against Dubai Land Department and RERA records — and may decline, suspend or remove any registration at our discretion.
Agents must hold and maintain a valid RERA broker registration (BRN) under a licensed brokerage office (ORN). You must notify us if your licence lapses, is suspended, or you change brokerage.
Investors confirm that any brief submitted reflects a genuine intention and capability to transact, and that funds referenced are legitimately sourced and available.
4. The service
We privately match property opportunities submitted by agents ("Deals") with buyer requirements submitted by agents or investors ("Requirements"). Matching is at our discretion. We do not guarantee that any Deal or Requirement will be matched, that any match will progress, or that any transaction will complete.
Investors are paired with a RERA-licensed buy-side agent for any introduction. DealDeed does not negotiate, transact, or advise on any party's behalf.
5. Introduction fee
A fixed introduction fee (the "Introduction Fee") is payable to DealDeed by each agent on a match introduced through the Platform that completes. The current Introduction Fee is notified to agents in writing during onboarding and confirmed in each match confirmation before any introduction is made. It is consistent across agents and is not negotiated per match.
- The Introduction Fee becomes payable on completion of the transaction (transfer/registration of the property, or the parties becoming unconditionally bound, whichever occurs first).
- It is invoiced on completion and payable within 72 hours of completion.
- No fee is payable by buyers or sellers to DealDeed. No fee is payable by anyone if a match does not complete.
- The Introduction Fee is separate from, and does not reduce or share in, any agency commission.
6. Non-circumvention
Where DealDeed introduces a party, property, or opportunity to you (directly or through your brokerage), you agree that for a period of 24 months from the introduction you will not — and will procure that your brokerage, colleagues, related entities and clients do not — deal with that party or transact on that property in a manner designed to avoid the Introduction Fee, whether directly or through any intermediary.
If a transaction substantially corresponding to an introduction made by DealDeed completes within that period, the Introduction Fee remains payable in full by each agent involved, regardless of how the transaction was ultimately routed or papered.
7. Verification and information
Where we describe a Deal as "verified", this means we have benchmarked the information provided to us against sources we consider reliable — including registered Dubai Land Department transactions and, where applicable, developer statements of account — at the time of review. Verification is a diligence aid, not a valuation, survey, guarantee of price, condition, title, or future performance, and not financial, investment, legal or tax advice. You must conduct your own due diligence and take independent professional advice before transacting.
8. Publication of completed deals
We may publish information about completed or agreed transactions on the Platform and in our marketing in anonymised form — property type, approximate size, area or community category, achieved discount, and status — without identifying any project, unit, party, or agent. By using the Platform you consent to publication on this basis.
9. Confidentiality
Information you receive through the Platform about any Deal, Requirement, or counterparty is confidential. You may use it only to evaluate and progress the relevant match, and may share it only with your client and professional advisers on the same confidential basis.
10. Acceptable use
You must not submit false or misleading information; misrepresent pricing, motivation or status of any property; harvest or scrape Platform content; or use the Platform for any unlawful purpose, including money laundering. We comply with applicable UAE AML obligations and may request source-of-funds or KYC information at any time.
11. Liability
DealDeed is not a party to any transaction between buyers, sellers, or agents, and accepts no liability for the conduct, solvency, or performance of any party introduced through the Platform, nor for any decision made in reliance on information provided through it. Nothing in these terms excludes liability that cannot be excluded under UAE law. Subject to that, our total aggregate liability to you arising out of or in connection with the Platform shall not exceed the Introduction Fees actually paid by you to DealDeed in the 12 months preceding the claim.
12. Data protection
We process personal data in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and our Privacy Policy.
13. Changes
We may update these terms from time to time. The version in force when a match is confirmed governs that match. Continued use of the Platform after an update constitutes acceptance of the updated terms.
14. Governing law and jurisdiction
These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction over any dispute arising out of or in connection with these terms or the Platform.
